Effective Date: January 1, 2025

This Master Services Agreement ("Agreement") is entered into between Landmark Local LLC ("Company," "we," or "us") and the client ("Client" or "you") who engages our digital marketing services.

Landmark Local LLC provides comprehensive digital marketing services including but not limited to: search engine optimization (SEO), paid advertising management, website development, content creation, social media marketing, and strategic consulting. Specific services, deliverables, timelines, and pricing will be outlined in individual Statements of Work (SOW) that reference this MSA.

This Agreement becomes effective upon signature and continues until terminated by either party. Either party may terminate this Agreement with thirty (30) days written notice. Client remains responsible for payment of all services rendered prior to termination. Early termination may result in termination fees as specified in the applicable SOW.

Clients agree to pay all fees as specified in the applicable SOW. Payment is due within fifteen (15) days of invoice date unless otherwise specified. Late payments may incur a fee of 1.5% per month. We reserve the right to suspend services for accounts more than thirty (30) days past due.

Client agrees to provide timely access to necessary accounts, materials, and information required for service delivery. Client is responsible for maintaining ownership and access to all business accounts including but not limited to domain registrations, hosting accounts, social media profiles, and advertising platforms.

Upon full payment, Client owns all custom creative assets developed specifically for their business. Landmark Local LLC retains ownership of proprietary methodologies, tools, templates, and processes. We reserve the right to showcase work samples in our portfolio unless otherwise agreed in writing.

Both parties agree to maintain confidentiality of sensitive business information shared during the engagement. This obligation survives termination of the Agreement.

We provide services using reasonable skill and care consistent with industry standards. However, we cannot guarantee specific results including search rankings, advertising performance, or revenue outcomes as these depend on numerous factors beyond our control including market conditions, competition, and client implementation of recommendations.

Landmark Local LLC's total liability under this Agreement shall not exceed the total fees paid by Client in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
